These terms govern your access to and use of Yapp. Please read them carefully — by creating an account or using the service, you agree to them.
1.Who we are
Yapp ("Yapp", "we", "us", or "our") is a shared WhatsApp inbox service for businesses, operated by NCK Consulting (Pty) Ltd (trading as Lucci), a digital agency based in South Africa. In these terms, "you" or "the customer" means the business that registers for an account, and "your users" means the staff members you authorise to use the service.

2.The service
Yapp lets a business manage customer conversations on the WhatsApp Business Platform from a shared, central dashboard. Features include routing incoming chats to the correct branch or team, role-based access for staff and management, transferring and reassigning conversations, and keeping a central record of conversations on behalf of the business.
Yapp is delivered as software-as-a-service over the internet, including as an installable progressive web app (PWA). We may add, change, or remove features over time to improve the service.
3.Accounts & eligibility
- You must be at least 18 years old and authorised to enter into this agreement on behalf of your business.
- You are responsible for keeping login credentials confidential and for all activity that happens under your account and your users' accounts.
- You must provide accurate registration and billing information and keep it up to date.
- You are responsible for the conduct of your users and for ensuring they comply with these terms.
4.Free plan & free trial
Yapp offers a permanent Free plan at no cost, with a limited set of features and usage limits (for example, on the number of team members and branches). New accounts also start with a 30-day free trial of the Pro plan — no payment is required to begin. At the end of the trial, unless you subscribe to Pro, your account simply moves to the Free plan; you are not locked out. You can upgrade to Pro, or cancel back to the Free plan, at any time.
5.Subscription & billing
- The Pro subscription fee is R399 per month (including VAT where applicable) for unlimited branches and up to 15 agents, unless otherwise agreed in writing. The Free plan is available at no charge with reduced features and limits.
- Subscriptions are billed monthly in advance and renew automatically each month until cancelled.
- Payments are processed by our third-party payment provider, PayFast. By subscribing, you also agree to PayFast's terms. We do not store your full card details.
- We may change pricing on no less than 30 days' notice. Continued use after a price change takes effect constitutes acceptance of the new price.
- Fees are non-refundable except where required by law. Cancelling stops future renewals; it does not refund the current period.
6.Cancellation
You may cancel your subscription at any time from within the app. Cancellation takes effect at the end of your current billing period, and you retain access until then. We may cancel or decline to renew your subscription on reasonable notice.
7.WhatsApp & third-party platforms
Yapp connects to the WhatsApp Business Platform provided by Meta. Your use of WhatsApp through Yapp is also subject to Meta's and WhatsApp's own terms and policies, including the WhatsApp Business Messaging Policy. You are responsible for:
- Holding the rights to the WhatsApp Business number you connect, and for any Meta fees that may apply to certain message types (for example, business-initiated template messages).
- Obtaining any consent required to message your customers, and honouring opt-outs.
- Complying with WhatsApp's rules. Meta may rate-limit, suspend, or ban numbers that breach its policies, and we are not responsible for actions Meta takes against your number.
8.Acceptable use
You agree not to use Yapp to:
- Send spam, unsolicited bulk messages, or content that breaches WhatsApp's or Meta's policies.
- Break any law, infringe anyone's rights, or send unlawful, harmful, fraudulent, or misleading content.
- Attempt to gain unauthorised access to the service, interfere with its operation, or reverse-engineer it except to the extent the law allows.
- Resell or provide the service to third parties without our written permission.
We may suspend or terminate access for breach of this clause.
9.Customer data & privacy (POPIA)
When you use Yapp, you remain the responsible party (data controller) for your customers' personal information, and we act as an operator (processor) handling that information on your behalf under the Protection of Personal Information Act, 2013 (POPIA).
- We process customer conversation data only to provide the service to you, and in line with our Privacy Policy.
- You are responsible for having a lawful basis to collect and process your customers' information and for your own privacy obligations to them.
- We apply reasonable technical and organisational measures to protect data, including role-based access so users only see what they should.
10.Intellectual property
Yapp, including its software, design, and branding, is owned by us and our licensors. We grant you a non-exclusive, non-transferable right to use the service during your subscription. You retain all rights to your own content and customer data. You grant us the limited right to host and process that content as needed to operate the service.
11.Availability & support
We aim to keep Yapp available and reliable, but the service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, and the service depends on third parties such as Meta, our hosting providers, and the public internet, which are outside our control. We may carry out maintenance, occasionally with downtime, and will try to minimise disruption.
12.Suspension & termination
We may suspend or terminate your access if you breach these terms, fail to pay, or use the service in a way that risks harm to us, other customers, or third parties. On termination, your right to use the service ends. We will make your data available for export for a reasonable period after termination, after which it may be permanently deleted.
13.Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the service. Our total liability to you for any claim relating to the service is limited to the fees you paid to us in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited.
14.Indemnity
You agree to indemnify and hold us harmless from claims, damages, and costs arising out of your use of the service, your content, your messaging of customers, or your breach of these terms or of any law or third-party policy (including Meta's).
15.Changes to these terms
We may update these terms from time to time. If we make material changes, we will give reasonable notice (for example, by email or an in-app notice). Continued use of the service after the changes take effect means you accept the updated terms.
16.Governing law & disputes
These terms are governed by the laws of the Republic of South Africa. The courts of South Africa have jurisdiction over any dispute, and you consent to the jurisdiction of the Magistrate's Court even where the claim would otherwise exceed its limits. We encourage you to contact us first so we can try to resolve any issue informally.
